Haynes and Boone Collaborates with Rice University To Sponsor Mexico Energy Reform Event

HOUSTON – The Haynes and Boone, LLP Americas Colloquium and the Mexico Center and Center of Energy Studies at Rice University's Baker Institute recently sponsored “Mexico’s Energy Reform: Powering the Future,” an event engaging energy stakeholders in a focused discussion on Mexico's energy reforms and the infrastructure investment it will require, as well as the legal implications for new Mexico energy markets.

Haynes and Boone Partner George Y. Gonzalez served as an opening speaker, while Partners Alberto de la PeñaAriel Ramos and Hunt Buckley participated as panelists discussing topics such as the future of energy reforms in Mexico, challenges and opportunities for shale gas, and in the Gulf of Mexico. Partners Antonio Franck and Ricardo Garcia-Moreno, meanwhile, served as moderators for their respective panels. >>

Alberto de la Peña

Alberto de la Peña heads the U.S.-Mexico cross-border practice out of the Dallas office of the firm. Alberto is licensed to practice law in Mexico, Texas and New York with over 20 years of experience in advising companies doing business in Mexico. Alberto assists clients in a broad range of legal matters regarding Mexico cross-border transactions, including securities, mergers and acquisitions, joint ventures, energy projects, aviation and maritime law, corporate finance, secured transactions, acquisition and servicing of distressed debt portfolios, antitrust, anti-corruption compliance, regulatory, litigation strategy, and international law. Represented Ascent Equity Group, LLC in the acquisition of the assets of Rod and Tubing Services, LLC, a Texas oilfield services production company.

Nefab Acquisition of PDS Global
Represented Nefab Companies, Inc. in the $2.4 million acquisition by its Mexican affiliate (and its Swedish parent - 1 share) of PDS Global Packaging, S.A.de C.V., a Mexican industrial packaging company.

$1.6 Billion Mexican Exchange Offer
Haynes and Boone, LLP successfully assisted AT&T International, Inc. in an exchange offer launched by America Movil, S.A.B. de C.V. to acquire Telmex Internacional, S.A.B. de C.V.

Divestitures
Represented Royal Dutch Shell in the sale of its downstream businesses in Honduras, Guatemala, Nicaragua, El Salvador, Panama and Costa Rica, as well as the sale of two joint venture interests.

Honduran Power Project (RECO)
Advised U.S. investor in purchasing a majority interest in the Honduran power distribution company Roatan Electric Company, the local distribution company for the Island of Roatan, Bay Islands, Honduras, including due diligence review, submission of bid to the Honduran power company ENEE, and negotiation of transaction documents.

On May 10, 2011, a Decree was published in the Official Journal of the Federation (Diario Oficial de la Federación) that amended, supplemented, and repealed various provisions of the Federal Competition Law (Ley Federal de Competencia Económica), the Federal Penal Code (Código Penal Federal) and the Federal Tax Code (Código Fiscal de la Federación) (collectively, the “Decree”) in the area of antitrust regulation.
