Edgar Anaya's practice focus is on international and domestic tax matters. He has extensive experience in representing business entities and individuals in corporate, transactional and strategic business planning, legal and taxation matters including structuring, formations, mergers and acquisitions, dispositions and restructurings. He also has substantial experience in handling all types of Mexican federal and state tax controversies and well as social security and customs matters.

Edgar has participated in matters which include both domestic and multijurisdictional; financing, tax credit strategies, dividend, foreign tax credit and remittance planning for multinationals; cross border financing and leasing arrangements; establishment and maintenance of international tax deferral strategies; transfer pricing issues and tax audits; tax structuring for project finance transactions; avoidance of permanent establishment status; and expatriate compensation tax issues.

Before joining Haynes and Boone, Edgar was tax manager at Arthur Andersen, Mexico City, associate at J. A. Garrigues Madrid, Spain and a tax associate at Santamarina y Steta, Mexico City.

He also has significant experience in the technology, Internet and software industries.

Edgar has assisted in a variety of transactions including:

  • Representing publicly traded and privately held companies in numerous taxable and tax-free acquisitions, mergers, dispositions, restructurings and workouts.

  • Advising publicly traded companies on tax issues related to going private transactions.

  • Representing foreign clients on a variety of investments in Mexico, including complex multi-jurisdictional tax planning and acquisition of Mexican operating companies and real estate.

  • Registration of foreign banks before the Mexican tax authorities.

  • Establishment of representation offices and branches of foreign companies.

  • Representing privately held companies in the technology, Internet and Software industries on private transactions.
