Equity Finance and Structured Products

The attorneys in our Equity Finance and Structured Products Practice advise all manner of domestic and international financial institutions, including banks, broker-dealers, derivatives dealers, hedge funds, private equity funds, and high net worth individuals in structuring, negotiating, documenting, and administering a myriad of transactions such as: the financing of equity positions, margin loans, prime brokerage arrangements, interest rate and F/X swaps, total return swaps, credit default swaps, repurchase agreements, and a wide range of other structured financial products. Through our representations, our clients enjoy seamless interaction with multiple professionals, including attorneys who also work in our Private Equity Practice. By working in tandem, we are able to give our clients access to both the buy- and sell-side of the markets, a unique benefit that delivers exclusive access to talent, market data, and information, which many firms with less focus on this specialized area are not able to offer.

Given the broad and multi-faceted scope and depth of our client base and team, we are also able to provide guidance concerning the regulatory issues with respect to their transactions and products. Our integrated practice group utilizes lawyers with multiple disciplines in order to provide our clients with expert advice on all aspects of the subject transaction, including margin regulations, tax laws, securities and corporate laws, ERISA issues, antitrust matters, investment company regulations, banking and broker-dealer regulations, bankruptcy and restructuring matters, and onshore and offshore collateral issues.

Due to our extensive knowledge of the market and the regulatory landscape, we provide our clients with custom-tailored, innovative solutions for their specific needs when utilizing equity financing, derivatives, and other structured products.

Key transactions have included:

  • $10 billion committed reverse repurchase facility
  • $265 million margin facility to certain domestic and international acquisition funds
