Jeff Curtis has more than two decades of experience representing commercial clients in their transactional matters, including acting as general counsel for one of our clients. He has developed extensive expertise in borrower and lender representation in all forms of commercial finance transactions. He has equally in-depth experience in a wide variety of domestic and international high-technology based transactions. These include software licensing, systems integration and development (including webpage development), technology transfer and EDI agreements. In addition, he has been involved in a variety of outsourcing agreements, having represented both service providers and customers in high-tech, as well as purely back-office, projects. Jeff was one of the founding members of our Technology Practice.
Currently, Jeff is focusing on commercial finance matters, with experience in corporate and middle-market syndicated and commercial credits, problem loan workouts, restructurings, enforcement actions and settlements, and equipment leasing. In addition, he regularly consults on certain regulatory matters affecting financial institutions and their customers. Prior to attending law school, Jeff was a professional staff member of an international accounting firm. He is a frequent lecturer on secured transactions under the UCC, an adjunct professor of law at Southern Methodist University and a Licensed Certified Public Accountant within the State of Texas.
Jeff has represented:
- Co-agent lenders in a $500 million syndicated unsecured revolving line of credit (with swing-line and letter of credit sub-facilities) to national data processing outsourcing company.
- Lessors and lessees on a variety of equipment leasing transactions, primarily master leasing structures.
- Multi-national asset-based lender in a revolving line of credit (with letter of credit sub-facility) to international manufacturer and distributor. Included guarantees from six foreign corporations.
- International airline reservation firm in domestic and international technology licensing, systems integration, outsourcing and development agreements.
- Logistics management firm in providing outsource logistical services to two international electronics manufacturing concerns.

Texans Credit Union
Represented Texans Credit Union (the second largest credit union in Dallas) in the divestiture of its commercial real estate lending subsidiary, Texans Commercial Credit LLC, in a transaction valued at approximately $210 million.
