José Ignacio de Ugarte is a Spanish Foreign Associate in the International Practice Group in the Dallas and Houston offices of Haynes and Boone, LLP. His practice focuses on cross-border corporate and finance law, including mergers and acquisitions, corporate restructurings, structured financings, project finance and energy transactions.

He has extensive experience in complex transactions all over the world, especially in Spain and throughout Latin America. Before joining Haynes and Boone, LLP, he was a candidate and prepared to become a Notary Public in Spain. After that he worked for a leading Madrid law firm as well as a large Spanish industrial group. He has also worked as a visiting attorney at Veirano Advogados in Rio de Janeiro, Brazil.

Mr. Ugarte has represented lenders, owners, buyers, investors, developers and contractors in energy, telecommunication, infrastructure and mining. His projects include simple and combined cycle power plants, alternative energy power plants (solar, wind and biodiesel), petrochemical plants, raw mineral processing facilities, loading/unloading port facilities, gas storage facilities and pipelines, international purchase of equipment and commodities and transfers of technology. He advises at each stage of the project preparing joint venture, development and partnership agreements, engineering services agreements (including EPCs and O&Ms), real estate contracts, as well as various types of financing agreements.

Mr. Ugarte is also an active member of the community, being involved in pro-bono initiatives such as the American Bar Association's Pro Bono Asylum Representation Project in Harlingen, Texas where he volunteered in the past.

Selected Client Representations

  • Assisted a major Italian telecommunication carrier in the acquisition of a long-distance telecoms operator in Brazil by means of a stock swap in the amount of R$650 million.

  • Represented several Spanish and foreign developers and lenders in numerous clean energy projects (solar and wind farms) in Spain and Portugal. 

  • Assisted a leading US navigation operator (global satellite positioning system) in the acquisition of the subsidiary of a major technology group in Madrid, Spain. 

  • Represented a major Spanish industrial group in a US$100 million turnkey project for the design, supply, construction and commissioning of a bulk ore handling facility at Gangavaram Port in Andhra Pradesh, India. 

  • Represented a major Spanish industrial group before the Venezuelan Government and several contractors in a US$475 million turnkey project for the development, supply, construction and commissioning of a giant iron ore plant in Puerto Ordaz, Venezuela.
