Karim Shehadeh is an associate in the Corporate/Securities section in the Houston office of Haynes and Boone, LLP, and primarily practices in the areas of mergers and acquisitions and securities. His experience includes negotiating mergers and acquisitions of privately held and publicly held companies; representing issuers in offerings of equity, debt and convertible securities, and U.S. securities compliance matters; structuring and forming business entities, including corporations, partnerships and limited liability companies; representing clients in private placements of securities and venture capital financings; and other corporate and securities matters. Karim also represents companies engaged in the maritime industry in various corporate and securities matters and certain industry-related regulatory matters.
Prior to joining Haynes and Boone, LLP, he was an associate in the Washington, D.C. office of Blank Rome LLP, where he primarily focused on commercial and U.S. government guaranteed financing transactions for clients engaged in the maritime industry, and mergers and acquisitions and general corporate and securities matters for clients engaged in various other industries.

Represented Waste Management, Inc., in an investment in Peninsula Compost Company, LLC (PCC), which operates a composting facility in Wilmington, Delaware.
Acquisition of Majority Interest
Represented Waste Management and its subsidiaries in a roll-up transaction by its contribution of assets and properties of two joint ventures to 1-800-Pack-Rat, LLC. Waste Management led the negotiations as a result of receiving a majority equity interest in 1-800-Pack-Rat, LLC along with board control. The transaction included the simultaneous contribution of assets and properties in exchange for equity by six other joint venture partners and franchisees to 1-800-Pack-Rat, LLC.
Divestitures
Represented Royal Dutch Shell in the sale of its downstream businesses in Honduras, Guatemala, Nicaragua and El Salvador.
