Labor and Employment Issues in Business Transactions
We advise our clients in contract negotiations regarding employment matters in the purchases and sales of businesses and in lending and refinancing transactions. Our experience ranges from review of labor and employment law compliance issues through due diligence to post-close issues surrounding reductions-in-force, WARN compliance, and restrictive covenants. Our experience includes representation of business entities as well as key executives in addressing employment contract terms, severance and compensation matters, and other labor/employment representations, indemnities, and similar provisions. We realize that employment-related issues which arise out of the sale, the merger and break up of business relationships that often involve closely held entities or partnerships, giving rise to mixed employment, shareholder and partnership claims. We also understand that fiduciary obligations arise in this context that require appropriate review and counseling.
