- Implemented corporate governance rules to Regulated Mexican companies (public companies, insurers and reinsurers); synthesized and presented new requirements to directors and shareholders. Follow up on compliance by such companies of duties imposed by specific laws.
- Participated in securities transactions (authorizations to increase, reduce and transfer shares between public companies, filed reports and requests before Mexican stock exchange authorities.)
- Coordinated the reorganization of the Mexican Atomic Pool, a mechanism through which Mexican nuclear risk is duly reinsured.
- Drafted corporate related documents (articles of incorporation, minutes, due diligence reports, shareholders agreements, mergers and acquisitions, dissolutions.)
- Drafted commercial agreements (purchase-sale, distribution, lease, agency, etc.)

Haynes and Boone, LLP successfully assisted AT&T International, Inc. in an exchange offer launched by America Movil, S.A.B. de C.V. to acquire Telmex Internacional, S.A.B. de C.V.
Divestitures
Represented Royal Dutch Shell in the sale of its downstream businesses in Honduras, Guatemala, Nicaragua and El Salvador.
