Mr. Garcia-Moreno practices corporate law with an emphasis in mergers and acquisitions, securities law compliance and corporate governance.
Mr. Garcia-Moreno also has a broad-based sports practice representing sports teams, owners of public assembly, sports, entertainment and recreational facilities, and companies that provide various goods and services to such teams and facilities.
Representative Experience
Mr. Garcia-Moreno has represented clients in the United States and internationally in transactions involving:
- mergers, acquisitions and divestitures involving public and private companies, including sports franchises;
- capital markets transactions, including public, Rule 144A and private placements of equity securities and debt transactions;
- acting as “outside general counsel” to public and private companies; and

preparation and negotiation of various agreements relating to the development, use, marketing and operation of public assembly, sports, entertainment and recreational facilities.

SEC Mandates Interactive Data Financial Reporting
The Securities and Exchange Commission (SEC) issued rules that will require most public companies to file financial statements with the SEC in eXtensible Business Reporting Language (XBRL). Interactive data in XBRL format permits users of financial information to automatically download financial data directly into documents and analytical tools.
