Sameer Saxena's practice includes advising clients on the areas of retirement plans, including 401(k) plans and pension plans, welfare plans, including flexible benefit plans, health plans, and disability plans, and equity compensation plans, including stock options and restricted stock. Sameer also assists clients in responding to benefit claims, answering questions regarding health plans, assisting clients with IRS determination letters, drafting employee communications, and complying with the HIPAA privacy and security rules.

Sameer is a contributor to Haynes and Boone's Practical Benefits Lawyer blog, which discusses issues and developments in the areas of employee benefits and executive compensation.

Representative experience includes:

  • Drafting and amending plan documents and summary plan descriptions for retirement, health and welfare plans.
  • Advice with respect to correcting operational errors of qualified retirement plans.
  • Assisting employers with responding to claims for benefits.
  • Advising clients with benefits issues arising in corporate transactions.
  • Advising clients with respect to nonqualified deferred compensation issues, including compliance with Section 409A of the Internal Revenue Code.
  • Drafting employment agreements and severance agreements for executives and other key employees.
  • Advising clients regarding the design and implementation of all types of equity compensation plans, including stock options, stock appreciation rights, restricted stock, and phantom stock.
