Tony Newton is a partner in the Energy Practice Group in the Houston office of Haynes and Boone, LLP. He practices principally in the areas of general corporate, mergers and acquisitions, finance, and taxation. Tony represents privately held companies in a wide range of legal matters including mergers and acquisitions, finance, private equity, and taxation as it relates to structuring transactions.

Some of his representative transactions include:

  • Represented U.S. subsidiary of a publicly-held Danish company in connection with a $768 million acquisition of a Swedish manufacturing company.
  • Represented a private liquid fuel terminaling company in a $40.5 million section 363 asset sale to a private equity fund.
  • Represented a portfolio company of a Norwegian private equity fund in a $10 million acquisition of a private UK video technology company.
  • Represented a private steel polishing company in a $1.75 million asset sale to a private steel processing company.
  • Represented a private safety and inspection services company in a $16.9 million sale of equity to a subsidiary of a publicly-held UK investment fund structured as a deemed asset sale pursuant to IRS Rev. Proc. 99-6.
  • Represented a private real property development company in a $440 million three-tiered refinancing.
  • Represented a private oil and gas drilling company in a $58.5 million asset sale to a publicly-held Canadian energy company.
  • Represented a private safety and inspection services company in a $15.75 million sale of equity to a subsidiary of a publicly-held UK investment fund.
  • Represented private oil and gas software company in international FCPA audit and $65 million sale to publicly-held oil and gas services company.
  • Represented private ethanol blending and terminaling company in $13 million sale of controlling interest to publicly-held alternative energy company.
  • Represented public Norwegian oil and gas services company in $10 million acquisition of assets of privately-held, blow-out preventer stacking company structured partially as a tax deferred mid-stream incorporation pursuant to IRC section 351.
  • Represented private oil and gas E&P company as borrower in a $25 million working capital credit facility.
