Haynes and Boone Handles Two Award-Winning M&A Transactions

Haynes and Boone, LLP advised clients in two transactions that have been selected as “deals of the year” in the 10th Annual M&A Atlas Awards, Global Markets.

Sponsored by the Global M&A Network, the 2018 Atlas Awards honor the best-value-creating deals and top-performing dealmakers in the global markets over the past year. Researchers analyzed about 600 transactions, spanning five continents, to choose the winners. 

“We are honored to receive recognition for transactions that provided enormous value to our clients,” said Haynes and Boone Partner Jennifer Wisinski, chair of the firm’s Mergers and Acquisitions Group. “The awards demonstrate our ability to successfully handle complex M&A matters that span many jurisdictions and industry sectors.” 

The Global M&A Network named VF Corporation’s 2017 acquisition of Williamson-Dickie Mfg. Co as the Global Consumer Goods Deal of the Year in the mid-market. 

A team of Haynes and Boone lawyers led by Partners Brian Barnard and Tom Tippetts advised Williamson-Dickie, a Fort Worth-based clothing company, in the $820 million transaction. The transaction garnered widespread media attention. Williamson-Dickie was the world’s leading provider of professional grade performance workwear and employed more than 7,000 people worldwide. Founded in 1899, VF is one of the world’s largest apparel, footwear and accessories companies.

Haynes and Boone lawyers assisting Barnard and Tippetts on the transaction included Partners Jennifer Wisinski, Susan Wetzel, Mary Mendoza and Ken Bezozo; Counsel Sharon Cooper; and Associates Maria Vives Hopper and Bryan Diebels.

The Global M&A Network named Traxys’ 2017 acquisition of CMC Cometals from Commercial Metals Company as the Global Resources & Commodities Deal of the Year in the mid-market. 

Haynes and Boone represented Traxys, a worldwide metals and natural resources trader based in Luxembourg, in its purchase of CMC Cometals, the industrial raw materials division of Commercial Metals Company. The multijurisdictional transaction, whose completion was announced Aug. 31, 2017, involved operations in the United States, Europe, China and Russia.

Partners Chad Mills and Ricardo Garcia-Moreno led a broad-ranging Haynes and Boone team across multiple offices in representing Traxys. They were assisted by Partners Emily Westridge Black, John Eldridge, Sam Lichtman and Mark Tidwell; Associates Valisa Berber-Thayer, Janna Mouret and Don Shiman; and many others.

“Winning the independently governed awards equates to achieving the ‘Gold Standard of Performance’ standing in the industry and markets,” the Global M&A Network said in a release announcing the award winners.

The deal winners will be celebrated at a June 5, 2018, award ceremony at the Intrepid Museum in New York City.
