Texas Supreme Court Adopts Changes to International Law Practice

AUSTIN – The Texas Supreme Court has recently issued its final approval for a set of reforms to the state’s international law practice rules that had been recommended by a task force chaired by Haynes and Boone, LLP Partner Larry Pascal.

Latin Lawyer Guest Article: Raising the Bar

The Texas Supreme Court has recently published for comment rule changes that largely adopt the unanimous recommendations of the Texas Supreme Court task force on international law practice. The reforms address three primary areas: (i) the eligibility of foreign lawyers to sit for the Texas Bar exam (primarily designed for licensed foreign lawyers who have graduated from an accredited law school in their home country and complete an LLM at an American Bar Association accredited law school); (ii) the foreign legal consultant certification for foreign lawyers who wish to solely practice the law of their home country while working in Texas; and (iii) the pro hac vice rule permitting a foreign lawyer to appear in a Texas court proceeding upon application to the judge and with the presence of Texas counsel. >>

Larry B. Pascal se desempeña como el Presidente del Grupo de Práctica Profesional para las Américas, y es Co-Presidente del Grupo de Práctica Internacional para Haynes and Boone. Cuenta con veinte años de experiencia asesorando a compañías en sus proyectos latinoamericanos y españoles transfronterizos, asesorando a clientes sobre operaciones a lo largo de toda América Latina y el Caribe (así como también otras partes del mundo), y viajando extensivamente a través de la región.

Ha sido reconocido por prestigiosos observadores del mercado durante muchos años, tales como Chambers y Latin Lawyer, por su trabajo en la región, especialmente en el área de fusiones y adquisiciones, y proyectos. En el año 2012, World Services Group eligió a Larry como su Miembro del Año. El Sr. Pascal es también un líder en la comunidad internacional de abogados. Actuó como Presidente de la Sección Internacional del Colegio de Abogados de Texas, y condujo una exitosa campaña para la adopción de la Norma Modelo de la ABA sobre Consultores Legales Extranjeros en Texas. Recibió su designación como Presidente de la Fuerza de Tareas sobre Práctica de Derecho Internacional, nombrado por la Suprema Corte de Texas, y guió a este prestigioso cuerpo sobre un conjunto unánime de reformas propuestas para modernizar la práctica del derecho internacional en Texas.

  • Representó a Royal Dutch Shell en la venta de sus negocios downstream en Honduras, Guatemala, Nicaragua, El Salvador, Panamá y Costa Rica, así como también la venta de dos participaciones en dos joint ventures.
  • Representó a Ecopetrol S.A., una compañía petrolera colombiana, en la adquisición de Propilco, SA, una de las compañías de plásticos más grandes de Colombia.
  • Representó a Ecopetrol S.A. en su Contrato de Operación Conjunta (COC) con Exxon Mobil y Petrobras.
  • Representó a FMC Corporation, una compañía multinacional, en conexión con el desarrollo de un gasoducto en Argentina.
  • Representó a Summit Electric Supply Co., un distribuidor de electricidad, en conexión con su establecimiento en la zona de libre comercio colombiana y en la obtención de financiamiento del Ex-Im Bank en conexión con la refinería REFICAR ubicada en Cartagena, Colombia.
  • Representó a una compañía estadounidense en conexión con una oferta pública emitida por la compañía refinadora costarricense de propiedad estatal, RECOPE, para la construcción de una planta de combustible para aeropuerto en un aeropuerto internacional ubicado en Costa Rica y el contrato de oferta conjunta asociado celebrado con su socio costarricense.
  • Representó a una compañía petrolera nacional latinoamericana en la obtención de un fallo de los EE.UU. en conexión con el incumplimiento de un préstamo otorgado a un desarrollador de etanol con base en los EE.UU.
  • Asesoró a un inverso estadounidense en la compra de una participación mayoritaria en la compañía distribuidora de electricidad hondureña, la compañía de distribución local para la Isla de Roatan, Islas Bay, Honduras, incluyendo el análisis de diligencia debida, la presentación de la oferta a la compañía de energía hondureña ENEE, y la negociación de los documentos de la operación.
  • Representó a Irradia, SRL (Perú) en un proyecto transfronterizo en conexión con la financiación de una planta de GNL peruana.

Infraestructura y Fabricación

  • Representó a un distribuidor costarricense en un juicio entablado por Mars, Inc. que pretendía una indemnización por daños y perjuicios en una medida inhibitoria extranjera contra el juicio e involucró cuestiones jurisdiccionales en cuanto a si un fabricante norteamericano puede demandar a un distribuidor extranjero ante un tribunal de los EE.UU. Persuadió con éxito al Quinto Circuito para que afirmara la desestimación del juicio.
  • Representó a Manufacturas Especializadas, S.A. en su compra a Snoke Special Products Co., Inc. de activos de fabricación en Texas. 
  • Representó a Commercial Metals Company en la compra a Canam de una planta de fabricación de acero ubicada en Juárez, México.
  • Representó a Carrollton Marble and Granite, Inc. en la venta de capital accionario a Levantina y Asociados de Minerales, S.A. (España).

Aviación y Tecnología

  • Representó a American Airlines en su adquisición de activos de Trans World Airways (TWA) en un procedimiento según el Capítulo 11.
  • Representó a Aerolíneas Argentinas, S.A. en la venta de su negocio de catering en el que tenía control mayoritario a Gate Gourmet.
  • Representó a American Airlines en la formación de una oficina de representación en Moscú y el trabajo regulatorio asociado en conexión con el comienzo del servicio aéreo desde Chicago a Moscú.
  • Representó a American Airlines en la adquisición de activos de Trans World Airways en un procedimiento según el Capítulo 11. Las aeronaves estaban ubicadas en los EE.UU. y en 13 jurisdicciones extranjeras, incluyendo México y partes de Latinoamérica, el Caribe, Europa y el Medio Oriente.

Obtain U.S. Judgment in Connection with Ethanol Project
Advised a Latin American national oil company in obtaining a U.S. judgment in connection with the default on a loan extended to an ethanol developer based in the U.S.

Pococi Correctional Facility
Advised a U.S. architectural firm in connection with the termination by the Costa Rican government on a public bid for a public-private partnership for the Pococi Correctional Facility in Costa Rica and related litigation.

Argentina Gas Pipeline
Advised a multinational company in connection with the development of a gas pipeline in Argentina.

Colombia Refinery Financing
Advised an electrical distributor in connection with its establishment in Colombian free trade zone and the obtaining of Ex-Im Bank financing in connection with the REFICAR refinery located in Cartagena, Colombia.

Costa Rica Airport
Advised a U.S. company in connection with a public bid issued by Costa Rica's state owned refining company RECOPE for the construction of an airport fuel facility at an international airport located in Costa Rica and related joint bidding agreement entered into with its Costa Rican partner.

ITL Int’l, Inc. v. Café Soluble, S.A. (5th Cir. 2012)
An American manufacturer sued an international firm client in district court in Mississippi, seeking a declaratory judgment that the parties’ distribution agreement had terminated, and an anti-suit injunction to prevent our client from suing the manufacturer in Latin America. Persuaded the Fifth Circuit to affirm the dismissal of the case on jurisdictional grounds.

Mars Inc., v. Constenla, S.A., 669 F.3d 493 (5th Cir. 2012)
In a case involving jurisdictional issues as to whether an American manufacturer can sue a foreign distributor in a U.S. court, persuaded the Fifth Circuit to affirm the dismissal of a lawsuit against a Costa Rican distributor brought by Mars, Inc. seeking damages and a foreign anti-suit injunction.

In United States bankruptcy proceedings, debtors are permitted to sell property of their estate free and clear of all liens, claims, and encumbrances pursuant to 11 U.S.C. § 363. This can be an excellent opportunity for potential purchasers, as they are able to buy these assets under the protection of a court order barring most creditors of the seller from asserting any of their claims against the purchaser.
