LeAnn Chen is an associate in the Finance Section. She concentrates her practice in the areas of representing lenders and borrowers in secured and unsecured lending transactions, including syndicated financing, margin lending, private equity and hedge fund financing, merger and acquisition financing, and distressed debt transactions.

LeAnn's financial transaction experience includes:

  • Representing the lead agent in a $3.4 billion multi-currency, cross-border revolving credit facility to a multi-national corporation.

  • Representing a large investment bank in margin loans in excess of $2.5 billion to various investment companies and hedge funds.

  • Representing the lead agent in a $1 billion revolving credit facility to a life insurance company.

  • Representing the lead agent in a $500 million acquisition credit facility to a health insurance company.

  • Representing the lead agent in a $400 million revolving credit facility to a chemical manufacturer.

  • Representing a large corporation in a $2 billion securitization transaction.

  • Representing lead agents in subscription credit facilities in excess of $3 billion.

$500 Million Secured Term Loans and Revolving Credit Facilities - Health Care
Acted as counsel to a national bank in negotiating, documenting and closing secured term loans and revolving credit facilities aggregating $500 million to a health care company.

$250 Million Secured Multi-Year Revolving Credit Facility - Energy
Acted as counsel to a national bank in negotiating, documenting and closing a $250 million secured multi-year revolving credit facility to a provider of energy storage and transportation services and its subsidiaries.

$265 Million Margin Facility - Domestic and International Acquisition Funds
Represented an offshore financial institution in a $265 million margin facility to certain domestic and international acquisition funds to provide them with additional leverage to acquire the controlling share in a major domestic company.

$350 Million Fund - Onshore and Offshore Feeder Funds
Represented the lead agent in a $350 million fund to fund equity secured revolving facility to onshore and offshore feeder funds.

$200 Million Credit Facility
Represented arranger and administrative agent in connection with a secured revolving credit facility to a warehouser and distributor of oil products.

Swaps and Other Derivative Transactions
Haynes and Boone has substantial experience in assisting clients who have swaps and other derivative transactions with failed or failing counterparties. Most recently it has assisted a major petrochemical manufacturer in assessing the applicability of the bankruptcy code derivative safe harbor provisions to various long term supply contracts with financially distressed petrochemical producers. Also, Haynes and Boone has assisted more that 20 swap and derivative counterparties in unwinding their ISDA based transactions with various U.S. and foreign affiliates of Lehman Brothers Holdings, Inc.

Margin Facility - Automated Redemption Program for Open-Ended Mutual Funds and International Equity Funds
Represented an FSA-governed financial institution in a margin facility to certain United States and Luxembourg funds to provide liquidity for their automated redemption programs for open-ended mutual funds and international equity funds.
