Wan-ting Chen is a foreign associate in the Corporate, Finance and International Practice Groups in the Dallas office of Haynes and Boone, LLP. Her practice focuses on foreign investment transactions, with emphasis on China.
Prior to her secondment at Haynes and Boone, Wan-ting was an attorney in Beijing at Haiwen & Partners, one of the most widely recognized law firm in China, where she practiced in the areas of antitrust, banking and finance, foreign direct investment and labor and employment.
In the area of antitrust, Wan-ting has worked on many merger control filing cases in China, provided antitrust law advice to numerous well-known multinational companies, large and medium-sized state-owned companies and private enterprises in connection with their domestic and offshore M&A transactions. Her antitrust experience includes:
- Represented one of the world's largest security and fire protection service providers in its series of merger filings in China for its acquisition of several enterprises in this industry;
- Represented two Korean electronic enterprises in the merger filing for the establishment of a joint venture in China;
- Represented other multinational clients in more than 15 antitrust notifications in China in connection with their offshore or onshore acquisition.
In the area of banking and finance, Wan-ting's experience includes:
- Represented a lender in a US$27.5 million loan to the offshore parent company of an air conditioning manufacturing company in China;
- Represented lenders in the limited recourse financing of the US$5 billion energy project in China, sponsored by three foreign investors;
- Represented a Chinese state-owned metal company in a US$330 million loan for a joint venture project with a foreign investor;
- Represented an international financial organization in a US$68 million loan to a limited company registered in China and listed in Hong Kong;
- Represented a major Chinese government policy bank in a multi-billion USD loan in connection with export financing by a foreign oil producer.
In the area of foreign direct investment, Wan-ting represented domestic and international clients in traditional joint venture and M&A transactions in China; provided daily law advice on all aspects of the operation of foreign invested entities in China; and handled government filing and approval procedures.
In the area of labor and employment, Wan-ting provided labor law related advice to employers and senior management personnel, drafted labor contracts and HR-related documents. She also represented clients in labor arbitrations, handled labor compliance and FCPA compliance matters.
