ABA Business Law Section Newsletter Guest Article: Master the Art of Email

We have all been guilty of drafting a substandard e-mail at some point-missing subject lines, typographical errors, misspelled words, overly vague references to a person or document, using ALL CAPS or forgetting an attachment. As a lawyer, you have either received or, in the heat of a stressful deal or case, sent an e-mail that could have been drafted more eloquently. However, consistently drafting well-crafted and polished e-mails is a simple way to set you apart as a young lawyer.

Lifting the Veil and Finding the Pot of Gold: Piercing the Corporate Veil and Substantive Consolidation in the United States

By the time a company becomes insolvent or files insolvency proceedings, creditors are often frustrated by the lack of asset value remaining in the entity with which they did business. In certain circumstances, legal theories exist that enable creditors to look behind the contracting parties in order to impose personal liability on directors or pursue assets in related entities. This article addresses some of these theories in the United States.

This paradigm shift has been triggered by the upstream industry’s success in shale plays–potentially the most important disruptive technology since the information technology and telecom revolution of the 1990s.

These rulings are significant, not only because of the media attention surrounding the Macondo incident, but also because the Court ruled for the first time that, under maritime law, an indemnity compensating a third party for claims arising out of gross negligence is enforceable, but only with respect to the compensatory damages portion of the claim.
