With many executive compensation and corporate governance reforms mandated by the recently-enacted Dodd-Frank Wall Street Reform and Consumer Protection Act and the SEC’s new proxy access requirements, the time to begin planning for the upcoming proxy season is now.

• The SEC’s new mandatory proxy access requirements;
• Implementing “say on pay” -- advisory shareholder votes on executive compensation and golden parachute pay;
• Disclosing incentive-based compensation and implementing clawback policies;
