Haynes and Boone, LLP presented the second in a series of discussions on oil and gas investment and financing. Following a brief market update, this program focused on recent bankruptcy challenges to the enforceability of overrides, net profits interests and VPPs.

Topics include:

• Market Update: Capital Markets, Reserve Based Lending, Mezzanine and Other Current Market Topics
• When Bankruptcy and O&G Law Collide: Treatment of various O&G interests in bankruptcy, including what O&G interests are property of the bankruptcy estate and what constitutes a true sale or financing in O&G transaction structures
• Discussion of the recent challenges to the nature of overrides and net profits interests in bankruptcy cases and the implications for financing transactions and O&G transaction structures going forward
• In depth analysis of these challenges raised in the ATP bankruptcy case
• Challenges and opportunities for 2015

New York:   This transitional program has been approved in accordance with the requirements of the New York State CLE Board for a maximum of 1.0 credit hour, of which 1.0 credit hour can be applied toward the Areas of Professional Practice requirement.
