Oil Field Services and the Fair Labor Standards Act - Houston

Haynes and Boone, LLP hosted a roundtable discussion regarding an overview of the Fair Labor Standards Act (FLSA) and how FLSA compliance problems could derail a potential merger or acquisition. For buyers of oilfield services companies, FLSA compliance issues are a crucial part of the due diligence process and potential sellers should be FLSA compliant before the sale of the company. The program will also cover how an FLSA issue can be dealt with once the deal is underway. A question and answer session will follow the discussion.

Moderator
Chris Wolfe, Partner, Haynes and Boone, LLP
Chris currently leads the Oilfield Services practice group and has more than 28 years of experience in representing energy-related businesses. Other areas of experience are mergers and acquisitions, tax and business planning.

Speakers
W. Clifford Atherton Jr., Ph.D., CFA, Managing Director, GulfStar Group II, Ltd.
Cliff is an investment banker with more than 25 years of experience in corporate finance and more than 30 years of experience in teaching finance at the graduate level. His industry experience includes representation of upstream, midstream and downstream energy service companies and related manufacturing and distribution companies. Most of Cliff's clients are entrepreneur and family-owned businesses with enterprise values between $25 and $250 million.

Gregory L. Elliot, Partner, Sterling Group, L.P.
Greg rejoined Sterling in May 2008 and currently serves as the Chairman of Liqui-Box and was previously the Chairman of Velcon Filters. He was previously with Sterling from 1994 to 2000. He is responsible for the identification, due diligence and management of private equity investments.

Meghaan McElroy, Associate, Haynes and Boone, LLP
Meghaan is in the Labor and Employment Practice Group in the Houston office. Meghaan has experience in a variety of labor and employment matters including, assisting in the defense of clients during DOL investigations and wage and hour lawsuits, including FLSA collective actions, especially relating to exempt classifications.
