October 14, 2010

Haynes and Boone, LLP is pleased to host this complimentary seminar.

The 2011 proxy season is fast approaching. With many executive compensation and corporate governance reforms mandated by the recently-enacted Dodd-Frank Wall Street Reform and Consumer Protection Act and the SEC?s new proxy access requirements, the time to begin planning for the upcoming proxy season is now.

Join us for a discussion focusing on:

? The SEC?s new mandatory proxy access requirements;
? Implementing ?say on pay? -- advisory shareholder votes on executive compensation and golden parachute pay;
? Disclosing incentive-based compensation and implementing clawback policies;
? New disclosure requirements related to compensation committees;
? Pay-for-performance and other new compensation-related disclosure requirements; and
? The role of proxy advisory firms.

Speakers will include:

Susan Wetzel, Haynes and Boone, LLP
Bruce Newsome, Haynes and Boone, LLP
Brian Cumberland, Alvarez & Marsal Tax and, LLC

This course has been approved for Minimum Continuing Legal Education credit by the State Bar of Texas Committee on MCLE in the amount of 1.5 credit hours.
