Haynes and Boone Advises AMR in American Eagle Transaction
DALLAS – A team of Haynes and Boone, LLP attorneys is advising AMR Corporation in the planned divestiture, spin-off or sale of its American Eagle regional airline subsidiary.
The law firm is assisting AMR in navigating a wide range of attendant legal issues, including the strategic analysis of alternative structures, preparation of relevant agreements and securities filings, renegotiation of existing contract terms, restructuring of financial arrangements and handling pension, stock, and employee issues.
In August, AMR Eagle Holding Corporation expects to file a Registration Statement on Form 10 with the Securities and Exchange Commission related to the intended divestiture. The statement will describe the divestiture and will contain important information about Eagle, including its historical consolidated financial statements.
A specific time frame for the divestiture has not been announced. AMR has said it envisions a spin-off of Eagle stock to AMR shareholders but remains open to other options, including a sale.

Eagle operates more than 1,500 daily flights to more than 170 cities in the U.S., Canada, Mexico and the Caribbean using smaller aircraft ranging from 34-seat Saab turboprop aircraft to 70-seat Bombardier regional jets. The company had considered splitting American Eagle off from American Airlines and parent AMR in 2008, but tabled plans in light of economic conditions.
