Zoë Connor has extensive experience advising a variety of lenders, borrowers, sponsors, financial institutions and corporates across a range of cross-border and domestic financing transactions, with particular focus on the financing of investment funds and financial institutions (including non-bank lenders and insurance) as well as investment grade syndicated and bilateral loan financing transactions.

Zoë advises agents, arrangers, lenders and sponsors on fund finance transactions across all fund sectors (including private equity, credit, infrastructure, energy, real estate, funds of funds, single accounts, investment trusts, open ended funds and other investment funds) and has acted as lead counsel on many of the market's largest fund finance facilities to top-tier global funds. Zoë's practice covers the full range of fund finance products from subscription credit/capital call facilities to hybrid and NAV facilities as well as general partner/manager support, co-invest facilities and other types of liquidity facilities provided to funds.

Zoë also has significant experience in acting on asset backed finance transactions to mortgage/bridging/leasing/consumer finance/debt purchase businesses across the UK, has led a number of insurance-related finance transactions for both lenders and borrowers including letter of credit facilities to provide funds at Lloyd's and advises on senior bank debt including large corporate credit facilities and general commercial lending. Broader general experience includes acquisition finance and real estate finance.

During her career, Zoë has also gained valuable experience whilst on client secondments to both legal and business teams within the corporate and financial institutions lending sectors.

  • Advising the lending syndicates on debt packages in excess of £2 billion to an investment advisory firm’s private equity funds for private equity investments focused primarily across Europe and Asia.
  • Advising the lenders on their US$400 million umbrella facilities to global real estate secondary funds located in Scotland, Guernsey, Cayman, and Delaware.
  • Acting for a private equity fund in respect of the €500 million financing of its European subordinated debt and equity mid-market fund and the €185 million financing of its European mezzanine and senior equity fund, which included co-investment.
  • Acting for a private equity fund on its €190 million bridge and subsequent €422,672,016 term refinancing arrangements to fund the acquisition of a commercial real estate business as well as to establish an agreed CapEx reserve and settle outstanding inter-company balances in order to refinance equity. The portfolio comprised 60 commercial properties as well as a portfolio of real estate NPLs.
  • Advising Commerzbank on their sale of Hypotheken Bank to Wells Fargo and Lone Star for the total value of £5.5 billion.
  • Acting for various insurance-related lenders on their standby letter of credit facilities to provide Funds at Lloyd's to support Lloyd's Syndicates.
  • Advising the lenders on their £40 million facility to a leading international provider of professional services to clients in the global insurance market.
  • Acting on specialty finance facilities including the £45 million financing to a first and second mortgage lending business, £30 million financing to a provider of tailored funding options such as asset-based finance, hire purchase and finance leasing to sole traders, partnerships and limited companies and £22.5 million financing to a near-prime finance provider for cars, motorbikes and vans.
  • Acting for the lender to develop a large funding program (alongside EIB) to support both the London Energy Efficiency Fund (LEEF) and the Scottish Partnership for Regeneration in Urban Centres (SPRUCE) on energy efficiency projects across the public sector.
  • Acting for an asset manager in respect of its US$100 million financing to a separately managed account set up to invest in directly originated senior secured loans to European mid-market corporate borrowers.
  • Acting for the lender on its £32 million funding to a multinational public transport company.
  • Acting for the lenders on their £20 million funding to a leading renewable energy company for the financing and refinancing of general corporate purposes including the financing of acquisitions.
  • Acting for an infrastructure unit trust on its £180 million revolving credit facilities for general corporate and working capital purposes including the acquisition of companies, businesses and assets.
  • Acting for the lender on its €250 million financings to a real estate focused investing firm for real estate funds investing across all real estate asset classes in the UK and major European markets.
  • Acting for the lender in respect of its US$500 million financing to US and Global sub-funds investing their assets in a diversified portfolio of debt securities.
  • Acting for credit funds on the financing of their senior secured credit funds which target secured credit for leveraged buyouts, both in Europe and internationally.
  • Advising the lenders on their €70 million funding to a European Fund for energy, climate change and infrastructure for the purposes of investing in European infrastructure.
  • Advising the lenders on their financings to PFI Secondary Funds which invest in PFI and other PPP infrastructure projects in the UK, the EU and North America.
  • Acting for investment trusts, investing primarily in international portfolios of listed equities, on their bank facilities.
  • Advising the lending syndicate on their general corporate facilities in excess of £100 million to a leading provider of retirement solutions.
