Theresa Einhorn has more than 25 years of experience handling complex financing transactions. Theresa has extensive experience representing financial institutions and other lenders and investors, as well as borrowers and other transaction parties, in a broad range of industries, with a current emphasis on energy, electric power, real estate and related industries.
Theresa has handled syndicated credit facilities, acquisition financings, bridge loans, term B loans, second lien loans, subordinated loans, intercreditor agreements, multicurrency and crossborder financings, project financings, hedging transactions, subscription line credit facilities, leasing, asset monetization and other structured credit transactions, letters of credit, bond financings and commercial paper programs. Theresa also has experience with debt restructurings and work-outs.
Theresa’s experience with oil and gas financings includes the upstream, midstream and downstream sectors, ranging from borrowing base credit facilities secured by oil and gas properties to asset-based and other financings for refinery and marketing companies. She has extensive experience representing lead arrangers, agents and lenders in connection with syndicated credit facilities and term loans for energy industry master limited partnerships (MLPs).
Theresa has served as Chair of Business Financing Committee of the American Bar Association (ABA) Section of Business Law and has been elected as a Fellow of the American College of Commercial Finance Lawyers. Theresa has the highest rating by the MartindaleHubbell® Law Directory - an AV® Peer Review Rating of Preeminent 5.0 out of 5. Theresa has been listed in The Best Lawyers in America by Woodward/White, Inc. for Banking and Finance Law, Bankruptcy and Creditor Debtor Rights/Insolvency and Reorganization Law, 1983-2015. Theresa’s community involvement includes serving on the Board of Directors and Executive Committee of the Society for the Performing Arts, the largest organization of its kind in the Southwest, dedicated to education in the performing arts by community outreach and bringing the world’s best performing artists to Houston audiences. Theresa is also a member of the Executive Women’s Committee of the Houston Greater Partnership, and of the Women’s Initiative of the United Way of Greater Houston.
