Profile

Lindsey Larson Emanuelson is an associate in the Investment Management Practice Group in the Dallas office of Haynes and Boone. Her practice focuses on corporate and securities matters, with a concentration on advising investment funds, investment advisors, and commodity pool operators and traders with regards to the formation, organization and operation of both hedge funds and private equity funds and their compliance with applicable federal and state laws.. Lindsey advises clients across a broad range of industries in various corporate and securities matters, including the preparation of securities filings with the SEC, such as Schedule 13D, Schedule 13G, Form 13F, Forms 3, 4, and 5 and Form ADV.

Lindsey also advises institutional investors and fund managers in the negotiation and structuring of alternative investments, including investments in private equity funds, hedge funds, and other alternative assets, including review and negotiation of investment documentation and drafting of side letters.

Lindsey has experience in a variety of transactions including:

  • Representing private equity funds, hedge funds and other domestic and offshore private funds pursuing a variety of investment strategies
  • Representing various partnerships and limited liability companies in joint venture transactions across a wide range of industries
  • Representing clients in private placements of securities
  • Representing pension plans, fund of funds managers, endowments, asset managers and other financial institutions in their investments into hedge funds, private equity funds, venture capital funds, and fund of funds
  • Representing institutional investors in structuring and negotiating separately managed accounts
  • Advising private equity and hedge funds in their compliance with securities laws
  • Representing an established fund manager in connection with the formation, documentation, and private placement of multiple single-investor partnerships and co-mingled funds
  • Representing a biotechnology company in convertible note offerings and a subsequent round of equity fundraising
