Profile

Walter Keneally represents and counsels developers, investors, utilities and contractors in all legal aspects of domestic and international energy and industrial project development, finance, and acquisitions and divestitures. He has substantial experience in the development, acquisition and sale of merchant coal, gas, biomass, solar and wind power plants, cogeneration facilities, refining and chemical plants, pipeline, processing and storage facilities, and related assets.

Walter advises clients in the structuring of project ownership, including joint ventures and other special purpose entities, and negotiates and drafts equity and debt financing instruments, including non-recourse financing agreements, purchase and sale agreements, and project agreements such as turbine and module supply, balance of plant, EPC, O&M, offtake, tolling, equipment supply and other service agreements in connection with energy and industrial projects.

  • Represented owners of a Texas retail electric provider in sale of equity interests to a larger, regional electricity marketing company.
  • Representing major utility in connection with requests for proposal (RFPs) for all renewable power purchase agreements (PPAs), primarily wind but also biomass and solar, with PPAs aggregating more than 2000 MW to date.
  • Representing retail electricity provider in connection with development of forms of energy optimization and management agreements for commercial and industrial customers.
  • Represented solar power developer as Texas counsel in connection with development and non-recourse financing of a 50 MW solar PV project in Texas. 
  • Represented solar power company as Texas counsel in connection with non-recourse financing of a 30 MW solar PV project in Texas, and the sale of a further 30 MW of solar PV projects, also in Texas.
  • Represented major utility in connection with all aspects of the co-development of a 30 MW solar PV facility in Ohio, including advice regarding the joint development agreement, module supply agreement and balance of plant (BOP) construction contract.
  • Represented a developer in connection with drafting and negotiation of an EPC contract for a 49 MW solar PV project in Maryland.
  • Represented a public construction company in connection with BOP construction contracts for the construction of three solar PV projects aggregating 45 MW in California.
  • Represented solar power developer in various aspects of development of four solar PV projects in several different states, aggregating 40 MW, including asset sale agreements and EPC contracts.
  • Represented wind power developer in various aspects of development of a wind farm in Costa Rica, including the turbine supply agreement and BOP construction contract.
  • Represented major utility in connection with the divestiture of several mothballed gas-fired generation facilities in Texas.
  • Represented major utility in sale of its interest in a 450 MW cogeneration facility located at a refinery in Texas.
  • Represented EPC contractor in negotiation of agreements for the construction of a 200 MW gas-fired power plant in Peru.
  • Represented sponsor/developer in connection with all aspects of the development and non-recourse financing, including via industrial development bonds, of a 24 MW biomass-fired generation facility in Arizona.
  • Represented major utility in connection with the sale of its interest in a 600 MW gas-fired power plant in Mexico.
  • Represented independent power producer in connection with divestiture of its fleet of non-operating gas turbines to numerous purchasers.
  • Represented developer in due diligence and bid to acquire the steam generation assets of a large chemical manufacturer in Texas for conversion to coal-fired generation facility. 
  • Represented developer in connection with option agreement to acquire a brownfield site in New Jersey for construction of a gas-fired generation facility, including negotiation of purchase and sale agreement terms and significant environmental due diligence.
  • Represented major utility in the sale of two unregulated, mid-construction gas-fired plants aggregating almost 1800 MW located in Nevada and New Mexico.
  • Represented major utility in divestiture of three unregulated gas-fired generation facilities in Florida aggregating more than 400 MW.
  • Represented several developers of coal-fired generation facilities in connection with coal supply, offtake and tolling agreements.
  • Represented public independent power producer in purchase of a 600-MW gas-fired generating facility in Texas.
  • Represented independent power company in sale of interests in cogeneration and merchant power generation facilities in Texas, Virginia, New Jersey and the Czech Republic.
  • Represented major chemical companies in connection with all arrangements with independent power producers for the development of four cogeneration projects in Texas and South Carolina aggregating more than 2400 MW.
  • Represented sponsor in various aspects of the development and financing of two 80 MW municipal waste fueled cogeneration at DuPont facilities in the Carolinas.

Midstream/Chemical/Industrial

  • Representing gas-to-liquids processing facility developer in all aspects of project development.
  • Represented leader of international consortium in bid as EPC contractor to construct a major natural gas pipeline for the Comision Federal de Electricidad (CFE) in Mexico.
  • Represented major utility in acquisition through a joint venture of a coal mine and related assets in Louisiana.
  • Represented major international oil company in sale of 39 gasoline stations in the Boston area.
  • Represented major midstream MLP in due diligence contract review in connection with bid for the purchase of an interest in a Gulf Coast LNG import facility.
  • Represented major utility in sale of its interest in a 450 MW cogeneration facility located at a refinery in Texas.
  • Represented winning bidder for two East Coast asphalt refineries from PDVSA, including leading due diligence effort and drafting and negotiating the purchase agreement and crude oil and asphalt supply contracts included with the bid.
  • Represented chemicals terminals operator in connection with agreements for the construction by a developer of a biodiesel production facility on the Texas Gulf Coast, including related storage agreements.
  • Represented wholesale commodities firm in drafting and negotiation of agreements for the structured natural gas supply of all of the natural gas supply requirements of a natural gas retailer in Georgia.
  • Represented chemicals terminals operator in connection with agreements for the construction by a developer of an isomerization project on the Texas Gulf Coast, including related storage agreements.
  • Represented developer in due diligence and bid to acquire the steam generation assets of a large chemical manufacturer in Texas for conversion to coal-fired generation facility.
  • Represented major international oil company in structuring and negotiating agreements for the construction by a third-party owner of a butadiene pipeline along the Texas Gulf Coast, including throughput agreements and arrangements with joint venture partners.
  • Represented major chemical company in drafting and negotiating agreements for the construction and operation by an international gas supplier of an oxygen and syngas plant at a chemical plant in Texas.
  • Represented three major chemical companies in connection with all arrangements with independent power producers for the development of four cogeneration projects in Texas and South Carolina aggregating more than 2400 MW.
  • Represented sponsor in various aspects of development and financing of two 80 MW municipal waste fueled cogeneration at DuPont facilities in the Carolinas.
