Lucy Liu focuses her practice primarily on general corporate and securities matters, with an emphasis on public and private securities offerings and SEC reporting and compliance for domestic and international clients of varying sizes. She has assisted in public and private mergers and acquisitions, private equity investments, PIPEs and initial public offerings.

Lucy joined the Dallas office of Haynes and Boone after working as a summer associate with the firm during her two summers in law school. She is currently a member of the firm’s Diversity Committee.

Lucy has experience in a variety of transactions including:

  • Preparation of various federal and state securities filings, including registration statements on Forms S-3 and S-8, annual reports on Forms 10-K and 20-F, quarterly reports, current reports, proxy statements, and Sections 13 and 16 reports.
  • Assisting with securities and general corporate matters, including entity formation and dissolution, SEC deregistration, and corporate governance compliance. 
  • Participation in IPO Readiness Program, including drafting of corporate governance documents.

Selected Client Representations

  • Represented a technology solutions provider in an initial public offering on Form S-1.
  • Represented a financial services private foreign issuer in an initial public offering on Form F-1.
  • Represented a biotech company in a follow-on equity offering on Form S-1.
  • Represented purchasers in an equity purchase of private company emerging from bankruptcy.
