Louis Meng is co-chair of the Asia Practice Group of Haynes Boone and a partner in the Shanghai office.

His practice focuses on advising clients on a wide range of business and corporate transactions, including mergers and acquisitions, private equity, venture capital, emerging growth, alternative and initial public offerings, fund formation, foreign direct investments and joint ventures, distressed property and non-performing loan transactions, real estate finance, direct selling, structured finance, and other cross-border corporate transactions.

During his 20 years of legal practice in Greater China, Louis has advised western, Chinese and multinational public and private companies, financial institutions, emerging growth companies, investment banks, asset managers, PE and VC funds, LPs and GPs, and hedge funds. Louis has also assisted many Chinese companies doing business in the United States and elsewhere. He has advised them on raising capital overseas through public offerings and private placements and acquiring international assets and technologies through licensing and cross-border mergers and acquisitions.

Prior to joining Haynes and Boone, Louis served as a senior partner at one of top Chinese law firms based in Shanghai, and as a partner at major international law firms.

  • Advising East West Bank to obtain all necessary regulatory approvals from the China Banking Regulatory Committee (“CBRC”) after its acquisition of United Commercial Bank.
  • Advising Shanghai American School to apply to National Education Commission to change the status from a Consular School to an International School for Foreign Expatriates.

Fund Formation and Capital Markets 

  • Advising a Hong Kong real estate developer client to form a RMB fund to finance its landmark development projects in Shanghai.
  • Advising a client to form a China-focused USD fund.
  • Advising an international client to form a Sino-foreign joint venture investment fund in corporate form pursuant to PRC laws.
  • Representing and counseling the Chinese issuers for overseas IPOs in NYSE, Nasdaq, Hong Kong, and AIM listings.
  • Representing the Chinese issuers as China legal counsel for several Taiwan F-shares IPOs.
  • Assisting a Central state-owned company to issue a CNY 600 million offering of credit enhanced RMB Bonds in Hong Kong.
  • Assisting a state-owned company to issue a CNY 600 million offering of credit enhanced RMB Bonds in Hong Kong.
  • Assisting a Taiwanese pulp and paper company to issue a CNY 700 million offering of RMB bonds in Singapore.

NPL/Restructuring

  • Advising People's Bank of China (“PBOC”) on the packaging and sale of non-performing assets of the overseas liquidation group of China Venture Capital Co., Ltd. to the international investors in Hong Kong.
  • Representing several international investors to acquire portfolio of NPLs from a State-owned AMC.
  • Advising of a major U.S. client in its acquisition of a NPL portfolio in Xian, China from a State-owned AMC.
  • Advising of a major international client to deal with the local courts for its resolution of the NPL portfolios.
