Jennifer Carter Raibon is an associate in the Business Transactions section in Haynes and Boone’s Dallas office. Her practice predominately focuses on mergers, acquisitions, private equity investments, corporate governance, planning and restructuring. Jennifer is experienced in the management, negotiation and closing of complex transactions for both buyer and seller clients, as well as the ongoing representation of such clients’ post-closing interests.

Jennifer has also represented clients in connection with internal restructuring and reorganizations, reporting of obligations under the Securities Exchange Act of 1934, compliance with corporate governance regulations such as the NYSE and NASDAQ listing standards, equity financing for privately and publicly held companies, private securities offerings and other securities transactions.

  • Trive Capital, LLC in its acquisition of three metal finishing companies based out of California.
  • Nekoosa Coated Products, LLC in its acquisition by an affiliate of the MagneCote business, which manufactures and converts magnetic paper. The MagneCote business was owned by MagnetNotes, Ltd.
  • Goodman Networks Incorporated in a Rule 144A tack-on offering of $100 million aggregate principal amount of 12.125 percent Senior Secured Notes due 2018.
  • Goodman Networks Incorporated in its acquisition of Multiband Corporation, a Minneapolis, Minnesota-based, publicly traded company.
  • Goodman Networks Incorporated in connection with its acquisition of the services division of Cellular Specialties, Inc. for approximately $18 million plus up to $17 million in earn-out payments.
  • BNSF Logistics International, Inc. in its acquisition of EP-Team, Inc., a privately held global logistics project cargo provider.
  • BNSF Logistics, LLC in the acquisition, through its affiliates, of Albacor Shipping Inc., a Canada-based international global project and general cargo provider with locations across North America, Europe and Russia.
  • Lighting Science Group Corporation, a provider of LED lighting solutions, in the private placement of $168 million of preferred equity.
  • Flowserve Corp. in a $500 million offering of 3.5 percent Senior Notes due 2022.
  • Lighting Science Group Corporation, a developer and manufacturer of general illumination products, in the private offering of approximately $140 million of convertible preferred stock.
  • Adams Golf, Inc. in its agreement to be acquired by TaylorMade-adidas Golf in a $70 million transaction, in which TaylorMade-adidas agreed to purchase all outstanding shares of Adams Golf for $10.80 cash per share for a total equity value of approximately $89 million.
