Kristin Santamaria is an associate in the Investment Management and Private Equity Practice Groups in the Dallas office of Haynes and Boone. Her practice focuses on corporate and business planning matters, with a concentration on investment fund formation and management, capital raising, private equity investments, joint ventures, reorganizations and other strategic transactions across a broad range of industries.

Kristin has represented clients in a wide range of corporate matters, including:

  • Representing private equity funds, hedge funds and other domestic and offshore private funds pursuing a variety of investment strategies
  • Representing private equity firms in structuring, negotiating and documenting portfolio company acquisitions
  • Representing various partnerships and limited liability companies in joint venture transactions across a wide range of industries
  • Representing fund managers in negotiation of equity ownership structures, governance issues and equity incentive plans
  • Representing an energy fund manager in the formation of investment funds with capital commitments of $3 billion dollars with taxable and tax-exempt investors
  • Representing an established fund manager in connection with the formation and documentation of multiple single-investor partnerships

Haynes and Boone Represents Alta Mesa in $3.8 Billion Merger with Silver Run Acquisition Corporation II

A team of Haynes and Boone lawyers led by Houston Partner Bill Nelson is advising Alta Mesa Holdings, LP, which has reached a definitive agreement to combine with Silver Run Acquisition Corporation II and Kingfisher Midstream LLC. The transaction is subject to the approval of Silver Run II stockholders and the satisfaction or waiver of other customary closing conditions.
