Kristina Trauger is a partner in the Capital Markets and Securities Group in the Houston Office of Haynes and Boone. Kristina concentrates her practice on the representation of publicly traded and privately held companies, investment companies, investment banks and investors in a wide range of corporate transactions that includes securities offerings, venture capital financings and other forms of private equity investment, mergers and acquisitions, joint ventures, recapitalizations and restructurings. She also advises clients on corporate governance, securities compliance and SEC reporting matters. Kristina represents clients in a range of industries in the U.S. and internationally including energy, technology, retail branding, healthcare and biomedical technology.

She has particular experience in the representation of issuers, underwriters and placement agents in connection with public and private securities offerings, including:

  • Initial and secondary public offerings
  • Shelf registrations
  • PIPEs and registered direct offerings
  • SPACs and other structured blank-check offerings
  • Bond offerings
  • At-the-market offerings
  • Rights offerings

Kristina’s experience also includes advising investment banks in the various aspects of capital markets transaction, including in connection with engagement and retention letters, placement agent agreements, underwriting agreements, agreements among underwriters, selected dealer agreements and other syndicate documents and advising on SEC and FINRA disclosure and compliance issues.

Haynes and Boone Advises Landry’s and Golden Nugget in Refinancing

Haynes and Boone advised Landry’s, Inc. and Golden Nugget, Inc. in a multibillion-dollar transaction that closed September 26, 2017. The transaction involved an offering of $1.415 billion aggregate principal amount of senior notes and senior subordinated notes of Golden Nugget and a $1.080 billion secured incremental term loan and revolver.
