AUSTIN–Haynes and Boone L.L.P., a full-service law firm, announced that it is hosting a seminar entitled “The New Corporate Governance Rules – Compliance Requirements and Procedures,” Friday, September 6, 2002.  The event will run from 7:00 a.m. to 9:00 a.m. at the Renaissance Austin Hotel, 9721 Arboretum Blvd., Austin, Texas, 78759.

The event will cover topics that provide the new corporate governance rules, requirements and procedures included in the Sarbanes-Oxley Act 2002 as well as discussions about board and committee composition, CEO/CFO certification of SEC reports, audit committee authority and responsibilities, a company’s relationship with its auditor, rapid disclosure of material changes in financial condition, insider trading disclosure, insider loans and disgorgement of profits, and director and officer insurance issues.  Speakers will include Noel M, Hensley, Richard D. Rafferty, Janice V. Sharry, William R. Hays, III, and David R.N. Taubenfeld, all partners with Haynes and Boone.  Dennis R. Cassell, partner with Haynes and Boone, will moderate the discussion.
