Haynes and Boone to Host Exclusive Roundtable Discussion on Strategic Private Equity Alternatives for Middle Market Companies

DALLAS, Texas–Haynes and Boone, L.L.P., a full-service international corporate law firm, announced that it is hosting a roundtable discussion titled “Is the Climate Right for Strategic Private Equity Alternatives for Middle-Market Public Companies?”  The event will take place 3:00 – 5:30 p.m. on Thursday, May 1, 2003 at the Hotel ZAZA, 2332 Leonard Street in Dallas.

The roundtable discussion will be split into two sections.  The first section will feature a discussion on “Alternative Financing Transactions” which will include a capital market update and discussions on private placements, PIPES (Private Investment in Public Equity) and equity lines of credit.  The second section of the event is “Going Private/Management Buy-Outs.   Topics to be covered during this segment include the anatomy of going private/MBO process, key legal, tax and accounting issues, what role does private equity play, and profiles of “hot industries” and “hot companies” for private equity.  Other discussion topics include how private equity adds value, how to negotiate management’s private equity participation, the fiduciary duties of directors and management and key D&O insurance issues.
