Haynes and Boone Promotes Arthur S. Berner to Head of Its Business Transactions Section

HOUSTON, Texas – Haynes and Boone, L.L.P., an international corporate law firm, recently promoted Arthur Berner to Section Head of its Business Transactions Practice. Mr. Berner has been a Partner in Haynes and Boone’s Houston location since 2000.

The Business Transactions Section, comprising 162 attorneys, is the second-largest segmentation of the Haynes and Boone’s broad array of practice areas. It encompasses the Firm’s Business Planning and Tax, Corporate/Securities, Intellectual Property, Technology Transactions, and Employee Benefits and Executive Compensation practice groups.

Mr. Berner has divided his career between in-house legal service and major law firm practice. He has a broad-based international and domestic practice in all aspects of corporate, public and private securities offerings, business organizations and financing. This includes IPO’s, cross-border and domestic mergers and acquisitions, LBO's and MBO's, public and private debt and equity financings, friendly and hostile tender offers, commercial transactions, venture capital formation, and derivative securities transactions. He represents all segments of Internet, bio-tech, restaurant, insurance, oil and gas, oil field service, health care and financial service companies - including compliance, workouts, and asset securitization. Mr. Berner has spoken and written widely on issues of corporate governance and the role of management, the Board of Directors and the Audit Committee. He has advised all three of these segments on compliance issues and standards.

Mr. Berner is a member of the American, Texas, Houston, New York City, New York State and Federal Bar Associations. He also is a member of the Small Business Committee and subcommittees on Emerging Growth Ventures and Securities Regulation of the American Bar Association. He earned his J.D., cum laude, from New York University School of Law in 1967. There, he acted as Executive Board-Research Editor of the school’s Law Review, was a member of Order of the Coif, and was named a John Norton Pomeroy Scholar and Graduate of the Year. He earned his B.A. in Political Science and Economics from City College of New York in 1964.
