Five Corporate Securities Attorneys Join Haynes and Boone New York Office

NEW YORK – Five senior corporate and securities attorneys and a corporate law specialist recently joined the corporate and securities practice of Haynes and Boone, LLP’s fast-growing New York office.

Harvey J. Kesner leads the new business and securities regulation group of Haynes and Boone New York.  Benjamin S. Reichel also joined the firm as a partner.  Nancy Brenner has been named of  counsel and Rick Werner and Gregory Kramer joined the firm as associates.  Mohit Bhansali joined the firm as law specialist. The group had previously been associated, and they had developed a dynamic and growing New York corporate finance and securities practice.

The newly hired attorneys are part of the long-term strategic growth plan for Haynes and Boone and enhance the firm’s New York-based office, adding to the existing New York corporate, securities, finance and capital markets capabilities, in addition to the other existing New York practice areas that also include bankruptcy, international transactions and business litigation.

The Corporate/Securities Practice Group is the firm's largest and most established, with more than 100 lawyers worldwide.  Haynes and Boone clients range from large multinational Fortune 100 corporations and investment banks to start-ups and emerging businesses.  The firm handles SEC reporting and compliance for many large and small publicly held companies, and also represents private equity funds, hedge funds, venture capital funds, broker-dealers, institutional investors and investment advisors.

Mr. Kesner focuses his practice on complex domestic and international transactions. He represents issuers, underwriters, agents and other financial intermediaries in public and private offerings, as well as in equity, debt, and derivative securities transactions. Mr. Kesner has an extensive background in representing issuers and other parties in mergers and acquisitions, private equity and venture capital transactions.

Mr. Kesner spent several years in Washington, D.C., where he was a senior attorney in the Division of Corporation Finance of the SEC.  He holds an M.B.A. in finance from American University in Washington, D.C., where he also earned his J.D.  Mr. Kesner received his B.S. from the State University of New York at Binghamton.  Mr. Kesner served as General Counsel of a NYSE listed company and had previously been associated with the New York office of Stroock & Stroock & Lavan and the Washington, D.C. office of Akin Gump Strauss Hauer & Feld.  Most recently, Mr. Kesner was a partner at Olshan Grundman Frome Rosenzweig & Wolosky, LLP.

Mr. Reichel’s practice focuses on mergers and acquisitions, corporate securities, venture capital and general company representation.  He has represented public and private companies, both as buyers and sellers, in various M&A deals, including statutory mergers, stock purchase transactions and asset sales and acquisitions.  In the securities area, he has represented issuers in private and public offerings of debt and equity securities, including IPOs, secondary, PIPE and registered rights offerings.  Mr. Reichel has also represented investment firms and private companies in venture capital transactions.  In addition, his practice includes assisting public companies with their SEC filings, as well as advising them on securities law and daily corporate matters.

Mr. Reichel received his J.D. from New York University School of Law and completed his B.A. at Yeshiva University.

Ms. Brenner’s practice is focused on general corporate matters, including securities and transactional cases.  That includes structuring and negotiating transactions, and representation of issuers in private placements and public offerings, and mergers. She has a proven record representing both issuers and investors in equity investment transactions, developing joint ventures and strategic alliances arrangements, and preparing shareholder, partnership and operating agreements.  Ms. Brenner is a graduate of the Fordham University School of Law.

Mr. Werner brings experience representing and counseling public and private companies in general corporate matters. He has handled numerous private and public company financings, 1933 Act resale registrations, general 1934 Act compliance, mergers and acquisitions and general corporate matters, including employment agreements and anti-takeover protections. Mr. Werner received his undergraduate degree from Dartmouth College. He was awarded his J.D. from the UCLA School of Law.

Mr. Kramer is a corporate-securities associate who has broad experience in SEC compliance matters and in mergers and acquisitions, including reverse mergers and PIPE transactions.  He completed his J.D. from Fordham University School of Law in New York and received his B.A. from New York University.

Mr. Bhansali, a graduate of New York University, has joined as a corporate specialist in the business and securities regulation group.
