Adam Hoffman is an associate in the Corporate/Securities Practice Group in the Dallas office of Haynes and Boone, LLP.
Adam’s practice is primarily focused on corporate securities, mergers and acquisitions, securities offerings, corporate governance and other corporate matters. He has represented clients in various corporate matters including:
- Equity financings for privately and publicly held companies
- Reporting obligations under the Securities Exchange Act of 1934
- Stock and asset acquisitions and dispositions
- Compliance with corporate governance regulations
- Preparation of securities and related filings with the SEC, FINRA, and state securities offices including Schedule 13G, Schedule 13D, Forms 3, 4 and 5, and Form D
- Public and private securities offerings and other securities transactions
Prior to law school, Adam was a financial analyst with CSG Investments, Inc., an affiliate of Beal Bank.

Represented Matador Resources Company, an independent oil and gas company, in its initial public offering of $178.6 million of common stock, including shares sold by the selling shareholders.
Represented Lighting Science Group Corporation in Private Offering of Convertible Preferred Stock
Represented Lighting Science Group Corporation, a developer and manufacturer of general illumination products, in the private offering of approximately $140 million of convertible preferred stock.
Rule 144A Offering - Asset Securitization
Successfully represented a funding company in connection with a Rule 144A offering of fixed rate mortgage backed notes secured by notes receivable from the sale of residential resort lots.
