Anne Johnson and Dan Gold in Law360: AT&T Beats Back $30M Claim Over T-Mobile Merger Deal


A Texas appeals court on Wednesday threw out a $30 million claim against AT&T Inc. from a German private equity firm that claimed it was hired to do research for AT&T’s bid to acquire T-Mobile USA Inc., finding the firm couldn’t prove it was defrauded into doing the work.

The Fifth District Court of Appeals found the evidence conclusively showed that under the oral agreement allegedly reached between General Capital Group Beteiligungsberatung GmbH and AT&T, the investment firm didn’t expect to be paid at all for researching the planned deal with Deutsche Telekom AG unless AT&T successfully acquired T-Mobile, and because the planned $39 billion takeover failed, GCG can’t collect the 2 percent fee it says it was promised or recover its out-of-pocket expenses...
