Vicken Antounian is an associate in the Corporate Practice Group in the Orange County office of Haynes and Boone. His practice focuses on mergers and acquisitions and capital markets transactions.

Vicken represents a diverse group of clients, including public companies, private companies and equity funds in sophisticated transactions that protect and enhance their business interests. He works with in-house counsel, corporate boards and C-suite officers to achieve their corporate goals and to find creative solutions to complex issues.

Selected Client Representations

Vicken has assisted with:

  • Representation of a leading logistics provider in the oil field industry in the restructuring of its indebtedness and equity securities.
  • Representation of a leading global supply chain management company in its initial public offering and listing on the SIX Swiss Exchange. The price for the newly issued registered shares resulted in total gross proceeds of $1.2 billion.
  • Representation of a nonprofit organization that operates charter schools focused on preparing students in under-resourced communities throughout California in its merger.
  • Representation of one of the world’s leading sovereign wealth funds in purchase acquiring 80 percent of company at a total enterprise value of $3.47 billion.
  • Representation of an independent oil and natural gas company in its $9.2 billion acquisition.
  • Representation of one of the world’s largest independent manufacturers of memory products in the acquisition of a subsidiary for $18 billion. The deal was the largest M&A transaction in Asia in 2018.
  • Representation of a global media and lifestyle company in the restructuring of its existing debt facilities relating to the internalization of its digital media and broadcast businesses.
  • Representation of an energy company that designs and manufactures solar panels, in connection with a joint venture, facilitating the refinancing of existing back-leverage facilities through a $400 million asset-backed securitization.
