Profile

Rob Patterson is an energy transactions partner in the London office of Haynes and Boone, with close to 25 years’ experience advising on a broad range of transactions in the oil and gas, power, petrochemicals and LNG sectors, including mergers and acquisitions, joint ventures, project development, financings and corporate reorganizations. Rob’s clients include national oil companies, petroleum sector regulators, sovereign wealth funds, independent oil and gas companies, oil and LNG trading companies and private equity firms.

Rob has extensive experience internationally, having spent 5 years in Russia, 4 years in Asia and 4 years in the Middle East, working on significant energy transactions in those regions and around the world. Rob is an English-qualified solicitor.

M&A Transactions

  • Represented Sinopec in connection with its acquisition of a 10% shareholding in SIBUR, Russia’s largest vertically integrated gas processing and petrochemicals company
  • Represented Oman Oil Company on its acquisition of OXEA, the world’s largest supplier of Oxo chemical products
  • Represented a shareholder in Neptune Energy in relation to its investment in Neptune and Neptune’s acquisition of a portfolio of international E&P assets from ENGIE
  • Represented the majority shareholders of OAO NOVATEK, Russia's largest independent gas producer, in connection with the sale of a 19.9% equity stake to Gazprom
  • Represented Oman Oil Company in connection with its $1.2 billion acquisition of an 8% equity interest in MOL Hungarian Oil & Gas in exchange for a package of upstream and pipeline assets in Russia and Kazakhstan
  • Represented Oman Oil Company in connection with the sale to the Russian Government of a 7% equity interest in the Caspian Pipeline Consortium
  • Represented Russian oil services company Integra Group in connection with its joint venture with Schlumberger, covering both parties’ seismic business in Russia and the CIS
  • Represented a US private equity firm on its investment in an oilfield services company with operations in the Middle East
  • Represented a Middle Eastern oil trader in connection with its proposed acquisition of loading and jetty facilities in Iraq
  • Represented a Chinese state-owned oil company on the acquisition of a 50% interest in a joint venture company owning producing interests in Kazakhstan
  • Represented a Chinese oil and gas company in connection with its acquisition of an interest in a major oil field in the Caspian Sea
  • Represented Fortum Power & Heat in connection with the disposal of generation assets in a number of European jurisdictions, including the UK, Ireland, Sweden and Russia

Upstream Oil and Gas

  • Represented Gulf Keystone Petroleum in connection with the farm-out to BG of an interest in the Hassi Ba Hamou contract area, Algeria
  • Represented OAO NOVATEK in connection with the sell-down to Total of a minority interest in the Termokarstovoye gas condensate field in northern Russia
  • Represented Mubadala Petroleum in connection with its negotiation of a production sharing agreement and associated joint operating agreement for the Erawan gas field in Thailand
  • Represented China National Petroleum Corporation on its acquisition of interests in three petroleum concessions in Peru
  • Represented a national oil company in the Middle East on the drafting of its model form exploration and production sharing agreement (EPSA) and, subsequently, on the negotiation of an EPSA covering a large offshore block with a European oil major
  • Represented Cairn Energy PLC in connection with the negotiation of production sharing arrangements relating to five blocks in Nepal
  • Represented a U.S. independent oil company on the negotiation of production sharing and joint operating arrangements in the Nigeria-Sao Tome Joint Development Zone, West Africa

  • Represented Russian gas producer OAO NOVATEK in connection with the early-stage development of the Yamal LNG project in northern Russia
  • Represented a U.S. independent gas company in connection with the potential development of an LNG liquefaction facility in British Columbia, Canada
  • Represented Unipec Asia, a subsidiary of Sinopec, in connection with its long-term purchase of LNG from the Australia Pacific LNG project in Queensland, Australia
  • Represented a proposed purchaser of LNG, on a long-term basis, from the Yamal LNG project in northern Russia
  • Represented a gas supplier in connection with long-term sale and transportation arrangements to a 1,200 MW power plant development in the UK
  • Represented Electricidade de Portugal in connection with the construction and operation of the gas-fired power station in Portugal
  • Represented Standard Chartered Bank as lead arranger in connection with the provision of an $85 million borrowing base credit facility to Pan-Ocean Energy Corporation, an E&P company with upstream operations in Gabon

Renewables

  • Represented the developers of the 100MW Barrow offshore windfarm project in connection with the long-term sale of its power and renewable benefits
  • Represented private equity firm HgCapital in connection with its acquisition and project financing of the Tir Mostyn onshore windfarm development in the UK
  • Represented private equity firm HgCapital in connection with the acquisition of a portfolio of operational and development-stage windfarms in France
