Alex Roldán

Alex Roldán is an attorney in the Employee Benefits and Executive Compensation Practice Group in Haynes Boone’s Dallas office. His practice focuses on ERISA, employee benefits and executive compensation.

Alex leverages more than 10 years of prior work experience with Fortune 500 companies as an Executive Compensation, Equity Plan Management, and Employee Benefits professional to deliver high caliber employee benefits and executive compensation legal advice from the client’s point of view.

Alex has significant experience advising clients in corporate transactions, representing both sellers and buyers, by identifying and correcting employee benefit issues (including compliance with Sections 409A and 280G of the Internal Revenue Code). He enjoys assisting his clients on all benefit matters, including plan design, implementation and administration issues, and plan terminations. In addition, Alex advises clients on employee benefit tax complexities and potential issues that may arise when employee groups are consolidated with or transferred to another entity in connection with a corporate transaction, business consolidation, or reorganization.

Alex also advises both employers and employees on their executive compensation, employee stock ownership plans (ESOPs), and equity plans, including preparing plan documents, executive employment agreements, award agreements, and related filings with the U.S. Securities and Exchange Commission.

  • Represented private equity firm Valesco Industries in its investment in North American Kitchen Solutions, Inc. (NAKS), a leading omni-channel, factory-direct one-stop-shop supplier of customized commercial kitchen hoods, fire suppression systems, fans, and complementary products.
  • Represented USA Environmental Holdings, Inc., a leader in specialized environmental remediation and industrial services provider, in a sale of its business to Entact, LLC.
