Haynes and Boone, LLP Partner Gregory Samuel led a team that received D CEO’s 2020 Mergers & Acquisitions Award for Large Deal of the Year for representing WatchGuard, Inc. in the July 2019 sale to Motorola Solutions.
Samuel’s deal team included Partners Tom Harris and David Harper and Associates Rosebud Nau, Brent Beckert, Rachael Apfel, Bryan Diebels, and Scott Thompson.
The team is featured in the May edition of D CEO (see P. 43) and will receive the award in August. The D CEO program recognizes the top M&A matters in North Texas and the outstanding professionals involved in the deals. Two other Haynes and Boone deals were selected as finalists for the M&A Awards: Blucora Inc.’s acquisition of 1st Global Inc. and Landry’s acquisition of the Del Frisco’s Steakhouse brands.
The winning Haynes and Boone transaction involved WatchGuard Inc., a nationwide leader in the production and distribution of police video systems, including in-car video systems and body-worn cameras for public safety systems. Motorola Solutions, one of the biggest suppliers to the public safety market, acquired WatchGuard last July. The acquisition expands Motorola’s reach and enables WatchGuard to leverage Motorola’s global footprint and growing video security solutions portfolio, according to the nomination.
As legal counsel for WatchGuard, Haynes and Boone had to navigate a myriad of tax, employee benefit, labor/employment, and securities issues to accomplish the goal.
