Haynes and Boone Leads Aviall, Inc. in $200 Million Offer and Sale of Senior Notes

DALLAS--Lawyers from Haynes and Boone, LLP recently represented Aviall, Inc. in connection with Aviall's offer and sale of $200 million of senior notes and an amendment to its senior credit facility. 

The notes were offered in a private offering under Rule 144A and Regulation S of the Securities Act of 1933.  Citigroup Global Markets Inc. led the team of placement agents, which also included Credit Suisse First Boston LLC and Wachovia Securities, LLC. 

Jeffrey J. Murphy, Senior Vice President of Law and Human Resources of Aviall, turned to Janice Sharry, a corporate partner at Haynes and Boone, to assist Aviall in these transactions.  Ms. Sharry led a team of Haynes and Boone lawyers working with the underwriters that included corporate partner Garrett DeVries and corporate associates Brandon Satterwhite, Stephanie Phillips, Jacob Smith and Bipasha Mukherjee.  Paul Amiel, a partner in the finance section, worked with Aviall's senior lender, Citicorp, N.A., along with finance associate Lori Feathers and Weil, Gotshal & Manges LLP partner Elaine Stangland and associates Michael Nicklin and Lester Szeto.

The placement agents were represented by a team of lawyers from Weil Gotshal including corporate partner Matthew Bloch and corporate associates Philippa Bond and Jakub Lerner, each resident of the New York office, and corporate associate Susan Chao, located in Dallas.
