Haynes Boone Partner Craig Unterberg to Issue Update to Highly Regarded Regulation U Manual

March 21, 2022
New York Haynes and Boone, LLP Partner Craig Unterberg, chair of Haynes and Boone's New York-based Prime Brokerage and Equity Lending Practice Group and a leading authority on the U.S. margin regulations, is releasing an update of his overview of Regulation U.

“Understanding Regulation U” discusses the elements and formal rules of Regulation U and how that regulation governs certain margin stock secured credits that are extended by U.S. banks and other non-broker-dealers.”

The manual, published originally in 2007 and frequently updated, addresses the general framework of Regulation U and includes the most recent developments affecting its application in the marketplace, including a discussion of certain exempted transactions.

“Having a working knowledge of Regulation U is critical to lenders, including banks, hedge funds, corporations and individuals,” Unterberg said. “I think this new report will be of great interest in all of those financial sectors.”

Unterberg serves as special regulatory counsel on margin regulations to large domestic, international, and regional banks. In his practice, he regularly advises funds and other non-bank lenders on margin regulations. He also works on a wide range of derivative, prime brokerage, and hedge fund financing transactions for both buy- and sell-side counterparties.

In addition, Unterberg represents borrowers and lenders in the private equity, leveraged lending, asset-based and M&A financing spaces. He regularly leads national CLE presentations on margin loans, intercreditor agreements, forbearance agreements and bankruptcy matters relating to lending transactions.
