06/06/2017

Haynes and Boone CDG, LLP has launched a new corporate practice in London with the addition of two partners with significant experience advising companies and management teams in London and other financial centres in Europe.

Tom Ferns and Nick Foss-Pedersen join Haynes and Boone CDG as London partners in the Corporate Practice Group. Their practices focus on mergers and acquisitions, initial public offerings and capital markets and securities work, private equity and venture capital transactions, and other corporate transactions. The lawyers have a well-established practice in London, where they represent companies in various sectors, including technology, financial services, media, and energy. Their clients also include sponsors, brokers and nomads; corporate finance houses; and other investors and entrepreneurs.

This is the latest London hire for Haynes and Boone CDG, which was formed via a merger last year. The firm also hired three London partners in February, Emma Russell, Zoë Connor, and Andreas Silcher, who augmented the firm’s finance, shipping and energy practices.

“We’re fortunate to bring on exceptional lawyers like Tom and Nick, who fit in perfectly with our culture and will be a huge asset to our corporate clients,” said Brad Richards, administrative partner of the London office.

“The hiring of Tom and Nick is a promise kept in terms of our firm’s ongoing commitment to our clients to build significant corporate strength in the UK legal market in order to support their global needs,” added firm Managing Partner Tim Powers.

Ferns has handled buy and sell side M&A, IPOs, secondary fundraisings, public to private transactions, and management buy ins and buy outs, among other matters. He was previously a partner in the London office of Rosenblatt and was head of the firm’s Corporate Practice.

Tom Ferns said: “We were keen to join a full-service international firm with a strong and growing presence in London so that we could better assist our UK clients transact internationally, while also counseling US companies that need English-law advice on their transactions in Europe. It is also very exciting for us to be part of something new, with a mandate and the resources to grow the UK-based corporate practice quickly.”

Foss-Pedersen has likewise handled a broad range of corporate transactions, including public and private acquisitions and disposals, IPOs and equity fundraisings, and investments and joint ventures. He was previously a partner in the London office of Rosenblatt.

“Haynes and Boone offers an ideal platform and environment to grow my practice and provide my clients with exceptional service in key jurisdictions around the world," said Foss-Pedersen.

Haynes and Boone was founded by business lawyers who wanted to help companies succeed and grow. Nearly half a century later, the lawyers in the firm’s corporate practice understand more than ever how to get business done in an increasingly interconnected global, complex and regulated marketplace. The corporate practice represents numerous public companies, ranging from small-caps to multinational large-cap corporations, along with a wide variety of other business clients, ranging from entrepreneurs, family offices and startups, to private equity funds, venture capital firms and closely held corporations.
