Cody Cravens

Cody Cravens is a counsel in the Finance Practice Group in the Dallas office of Haynes Boone. Cody primarily negotiates and structures complex corporate financing transactions for lenders and borrowers alike, representing banks, financial institutions, private credit providers and both private and public companies.

Cody has represented national and regional banks, private capital funds providers and other financial institutions as lenders in a variety of financing arrangements, including asset-based and cash flow lending, senior secured debt financing, oil and gas reserved-base lending, real estate financing, portfolio acquisition, middle market financing, equity financing and other forms of debt.

Private equity firms, corporate entities, public companies and other borrower entities seek Cody’s counsel to obtain senior or subordinated financing, through syndicated and single bank loan facilities, acquisition financings, restructurings and other borrower structures. Cody regularly works alongside other practice areas within Haynes Boone in order to satisfy all aspects of a client’s needs.

Cody was selected to join the Dallas Regional Chamber’s 2024 LEAD YP program and has served as the Secretary and Treasurer of the Texas Business Law Foundation and on the Board of Directors for the Genesis Young Leaders.

Commercial Finance, Real Estate and Energy Representations

  • Represented a national banking association as the lead arranger and administrative agent in a $500 million revolving credit and $984 million term loan facility provided to a luxury mountain resort company.
  • Represented a national banking association as the lead arranger and administrative agent in a $350 million revolving credit and $650 million term loan facility provided to a commercial real estate fund.
  • Represented a Texas state bank as the lead arranger and administrative agent in a $30 million revolving credit facility provided to a precious metals bullion depository.
  • Represented a Texas state savings bank as the lead arranger and administrative agent in a $87 million revolving credit floorplan facility provided to a used car dealer.
  • Represented a national banking association as the lead arranger and administrative agent in a $2.5 billion term loan provided to ONE Gas, Inc. for natural gas purchases as a result of the 2021 winter weather events.
  • Represented administration agent in a $250 million facility secured by oil-and-gas producing properties in Kansas, Oklahoma, North Dakota and Texas.

Borrower Side Representations

  • Represented a national retailer in connection with two separate debtor-in-possession loan facilities that provided access of up to $125 million to finance operations during its bankruptcy case and two exit loan facilities totaling $150 million.
  • Represented a private equity fund client in connection with the acquisition, and related senior secured financing, for several cosmetics brands.
  • Represented a private equity fund client in connection with the acquisition, and related senior and junior secured financing, of a milk supplier.
