Haynes Boone Advises Private Equity Firm Valesco in Multiple Successful Transactions in 2024

April 09, 2024

Lawyers from Haynes and Boone, LLP’s Business Transactions and Finance Departments have advised Valesco Industries on a third 2024 transaction, as the private equity firm continues to seek opportunities to invest in growth-oriented manufacturing businesses and value-add distribution enterprises.

On March 26, Valesco closed its second transaction out of Valesco Fund III – an investment in American Bedding Manufacturers, which makes and distributes bed materials to niche institutional end markets, including government and military bases, camps, missions, rehabilitation centers, educational institutions and agricultural facilities. Valesco completed a majority buyout from the founders and provided subordinated debt.

This followed Valesco’s February investment in Blower Application, LLC (“BloApCo”), the first investment out of Fund III. BloApCo manufactures and designs solid waste and scrap handling systems and processing equipment for the packaging and retail distribution industry.

Earlier this year, Haynes Boone also advised Drug Free Sport International, a portfolio company of Valesco, in its sale to CPC, LLC.

The Haynes Boone deal teams were led by Mergers and Acquisitions Partner Brent Beckert and Finance Partner Sakina Rasheed Foster. The transactions were supported by a cross-disciplinary team of subject-matter specialists, including:

Mergers and Acquisitions: Associates Bryan Diebels, Rachael Williams, Morgan Smith and Janet Wyse.
Finance: Associates Karina Oshunkentan, Mei Zhang, Dani Leon-Osorio and Remya Menon
Government Contracts: Partner Zach Prince and Associate Scott Whitman
Business Planning and Tax: Partner Lauren White and Counsel Danielle Marr
Labor: Counsel Michael Gaston-Bell and Associate Sean Lewis
Real Estate: Partner Bradley Holdbrook and Associate Michael Coleman

“It’s a privilege to partner with Valesco in these transactions and to see the immediate success of Valesco Fund III,” Beckert said. “We’re honored to play a small part in the firm’s impressive growth trajectory and look forward seeing what may come next in our partnership.”
