Haynes Boone Advises on Acquisition of Volumetric Biotechnologies

Haynes and Boone advised firm client Volumetric Biotechnologies in its sale to 3D Systems (NYSE:DDD) to help advance research in life science technology and 3D printing for regenerative medicine.  

Moreover, a Haynes Boone patent procurement team featuring members of the firm’s Precision Medicine and Digital Health Practice helped Volumetric build out an extensive IP portfolio that was a core asset of the transaction. 

The acquisition is structured as a $45 million closing payment, with up to $355 million additional opportunity linked to the attainment of significant steps in the demonstration of human applications through Dec. 31, 2035. These payments comprise approximately half cash and half stock. If all milestones are accomplished, the total purchase price for the acquisition is $400 million. The transaction is expected to close in the fourth quarter, according to a 3D Systems press release.

Volumetric is a Houston-based biotech company working to manufacture human organs using bioprinting methods. Its team of bioengineers and scientists has focused primarily on the human liver and the underlying technologies required to create these highly complex biological structures.
