Nick Davis
Biography
Nick Davis is London Office Managing Partner and a partner in Haynes Boone’s Corporate Practice Group in the firm’s London office.
With more than 25 years of corporate finance experience, Nick focuses on flotations/IPO work, equity capital markets and UK public company M&A, advising both issuers and capital markets intermediaries. He advises on London Stock Exchange transactions on the Main Market and AIM, including admissions/listings and follow-on equity fundraisings, and he regularly represents public companies as well as NOMADs/brokers and sponsors. Not long after joining Haynes Boone, he played a key role in completing the first dual LSE–Nasdaq listing to occur simultaneously in three decades.
Nick sits on the London Stock Exchange AIM Advisory Group and regularly speaks at seminars and conferences on London capital markets matters. He is consistently ranked by Chambers UK, Chambers and Partners and The Legal 500 for work in Capital Markets: AIM, Equity Capital Markets – small mid cap and Energy & Natural Resources: Mining.

- Public M&A Shanta Gold Limited (“Shanta”) on its acquisition by Saturn Resources Limited, Tungsten Corporation plc (“Tungsten “) on the £71 million recommended cash offer by Kofax Inc. (“Kofax”) for Tungsten.

What types of transactions do you handle in the London capital markets?
I advise on London Stock Exchange transactions, including Main Market and AIM admissions/listings and follow-on equity fundraisings. I also advise on UK public company M&A alongside capital markets work.
Who do you typically represent—companies or banks/advisers?
I represent issuers/public companies as well as capital markets intermediaries, including NOMADs/brokers and sponsors. That mix lets me help clients align transaction execution with the expectations of the market and its gatekeepers.
Which sectors are a regular focus in your practice?
My work spans sectors that frequently access the London markets, including natural resources and mining, technology and healthcare. I tailor advice to the disclosure, governance and execution issues that tend to arise in each of those sectors.
How are you involved with AIM beyond day-to-day deal work?
I sit on the London Stock Exchange AIM Advisory Group. I also regularly speak at seminars and conferences on London capital markets topics.
What recent experience best illustrates your cross-market listing work?
Not long after I joined Haynes Boone, I played a key role in completing the first dual LSE–Nasdaq listing to occur simultaneously in three decades. That kind of transaction requires tight coordination across workstreams and market participants to keep timing, disclosure and execution aligned.
