Kayley Rousell
Kayley Rousell is an associate in the Energy, Power and Natural Resources Practice Group in the London office of Haynes and Boone, LLP.
Kayley has a wide range of transactional experience, principally in the context of energy and infrastructure projects and the renewables, oil and gas and shipping sectors, across a range of international projects including the UK, Europe, the Middle East, Africa, Asia and the Americas.
Her energy and infrastructure practice primarily focuses on advising funders and sponsors in the financing, development, acquisition and disposal of energy and infrastructure projects. Kayley has a wide range of experience in the structuring, drafting and execution of finance and security documents.
Her shipping, renewables and oil and gas practice focuses on contracts and other project documentation for high-value and complex projects in the oil and gas, shipbuilding, offshore construction , drilling, floating production (FPSO and FLNG) and renewables sectors. She advises on ship/offshore asset sale and purchase transactions, charterparties and wider projects involving the recycling of ships and other offshore assets (including FPSO, FLNG, LNG and drilling rigs).
Kayley is a regular contributing author to a number of industry journals and her articles have recently been published in Infrastructure Investor and Clean Energy Pipeline.
• Advising Raxio Group in its capacity as the project sponsor on the US$110 million project financing of a portfolio of data centres. The portfolio will consist of up to 10 data centres across several countries in sub-Saharan Africa.
• Advising an investment manager in connection with the release and retaking of security and documentation of a change of control over a portfolio of solar PV power projects located in the UK.
• Acting for an FPSO owner/operator on the sale and purchase of an FPSO (including dovetailing sale and purchase transaction with cross-jurisdictional requirements of wider project for field sale and purchase offshore Brazil and continued field operations of the FPSO).
• Advising an offshore drilling unit owner/operator on the sale and disposal of the offshore drilling unit for recycling purposes only.
• Advising a cruise ship owner/operator on the sale and purchase of a cruise ship for refit.
• Advising a shipyard on multiple vessel construction contracts under a single framework agreement.
• Advising an owner on the sale and purchase of two bulk carriers.
• Advising an owner on the sale and purchase of multiple LNG carriers.
