Caroline Vickers
Biography
Caroline Vickers is an associate in the Investment Management Practice Group in Haynes Boone’s London office.
Her practice primarily focuses on advising clients across the venture capital spectrum.
Caroline advises emerging and established fund managers on the structuring and launch of new closed-ended and open-ended fund structures across a range of onshore and offshore jurisdictions. Her experience includes advising clients in relation to ongoing fund operations, co-investment and SPV arrangements, and downstream primary and secondary transactions, with a particular focus on venture capital and hedge fund strategies.
In addition, Caroline advises early-stage and growth companies on fundraising rounds and general corporate matters. She also works closely with institutional investors and family offices on the deployment of capital across a broad range of venture transactions, including equity financings, direct and indirect investments, and secondaries.

- Advised on the structuring and launch of Par Equity’s first institutional £85 million fund, targeting high‑growth technology companies in the north of England, Northern Ireland and Scotland.
- Advised Zero Carbon Capital on the launch of a UK-domiciled fund investing in companies developing and commercialising technologies to accelerate the global transition to net‑zero.
- Advising an early-stage venture capital manager on the formation of its second institutional fund, including a transition from a Luxembourg structure to a Delaware‑domiciled fund, with cross-border co-ordination alongside Haynes Boone’s US offices.
- Advised a London‑based fund‑of‑funds manager on fifteen venture capital and private equity investments (including co-investment structures investing at portfolio company level) across multiple jurisdictions, including the UK, United States, Guernsey and Jersey, with an aggregate investment value of over $5 billion.
- Advising on the launch of a number of hedge fund structures, including a Cayman master-feeder fund; a hedge fund structured as a Delaware limited partnership; and a hedge fund structured as a two-legged master feeder structure (Cayman corporate feeder, Cayman corporate master, Delaware limited partnership feeder).
- Advised a London-based fintech and deep-tech focused venture capital firm, often acting as lead investor, on six seed-stage investments across sectors including healthcare technology, robotics, and AI-first platforms, with an aggregate investment value of over £12 million.
- Advised a climate-focused venture capital fund regulated under Article 9 of the Sustainable Finance Disclosure Regulation (SFDR), on its financing as lead investor of an early-stage business working at the intersection of AI and synthetic biology to reimagine waste, as part of an overall equity financing round of US$17.2 million.
- Advised an EU Article 8 fund managed by the largest Japanese VC in Europe, on its co-lead investment into a full-stack banking as a service (BaaS) platform as part of a US$24 million funding round.
- Advised a longstanding client on the €4.5 million secondary purchase of shares in a cutting-edge biotechnology company by its Luxembourg-based secondaries fund, which Caroline and the Haynes Boone team helped establish.
- Advised a leading blockchain technology company on aggregate seed and seed-prime financings of approximately US$30 million, as well as continuing to support the company in a general counsel role, including advising on the recent issuance of convertible securities linked to token issuances.
- Advised a data-driven proptech company on its £5 million Series A funding round.
- Advising a UK technology company building AI‑driven software on a restructuring, SAFE financing and related corporate and employment matters.
