Haynes Boone Represents Eighteen Ninety Partners in Management Buyout of Financial Firm

A Haynes and Boone, LLP deal team led by Partner Roger Royse represented Eighteen Ninety Partners, LLC in a management buyout of the current non-operating shareholders of Moors & Cabot, a 132-year-old diversified financial services and wealth management firm headquartered in Boston with offices throughout the country.

The transaction closed Oct. 27.

Eighteen Ninety Partners is owned and controlled by current Moors & Cabot Executive Chairman Mark Garrett, Moors & Cabot CFO Mike Hildreth, and Howard "Skip" Hauser. The transaction is the culmination of a strategic succession planning process launched in 2019 by current ownership for the long-term stewardship of the business, Moors & Cabot said in an announcement.

“For 132 years, Moors & Cabot has managed private wealth for many families and businesses through generations. This transaction will allow us to continue the tradition of always putting the best interests of our clients front and center,” said Moors & Cabot President and CEO Dan Joyce.

Haynes Boone represented Eighteen Ninety Partners in connection with the acquisition of Moors & Cabot. Royse practices in the areas of corporate and securities law, domestic and international tax, mergers and acquisitions, and fund formation. He works with companies ranging from newly formed tech startups to publicly traded multinationals in a variety of industries.

Royse was assisted in the transaction by Haynes Boone Attorney Gabor Szecsi, an attorney in the Capital Markets and Securities Practice Group in Haynes Boone’s Palo Alto office. His practice focuses on general corporate law, commercial contracts and emerging growth companies, and mergers and acquisitions. Gabor also advises investors and funds on fund formation and federal and state regulatory compliance.
